Welcome to RecruitBPM's Terms and Conditions ("Terms"). This agreement governs your relationship with RecruitBPM ("Company," "We," "Us," "Our") regarding your use of our website (https://www.recruitbpm.com) and services.

The recruitment software landscape is littered with impenetrable legal documents that nobody reads. We've taken a different approach. These Terms are designed to be clear and straightforward—protecting both parties while actually being comprehensible.

Effective date: May 6, 2025

We may modify these Terms from time to time. When significant changes occur, we'll provide notice on our website or via email at least 30 days before implementation. Your continued use of our Services after modifications constitutes acceptance of the updated Terms.

Definitions

Let's clarify some terms you'll encounter throughout this policy:

Account refers to your unique authenticated access to our Services.
Content encompasses all information, data, text, files, images, videos, feedback, and materials submitted to or through the Services.
Services means RecruitBPM's software applications, tools, and platform offerings.
Site means the RecruitBPM website accessible at https://www.recruitbpm.com.
Subscriber refers to Users who have purchased access to our premium content and features.
User ("You," "Your") means any individual or entity accessing or using our Site or Services.
Visitor means individuals who browse our Site without subscribing.

Acceptance of Terms

By accessing our Site or using our Services, you acknowledge and agree to these Terms. Think of this as a digital handshake-a binding contract between you and RecruitBPM.

If you're using our Services on behalf of an organization, you represent that you have authority to bind that organization, and these Terms apply to both you and the organization. If you don't agree with any part of these Terms, your only option is to stop using our Services.


User Eligibility and Account Creation

Age Requirements: You must be at least 18 years old to create an account and use our Services.
Account Creation: To subscribe to RecruitBPM Services, you must provide accurate, complete information including:
  • Full name and company information
  • Contact information (email address and phone number)
  • Billing information
  • Number of intended Users
  • Valid login credentials
Account Security: The digital keys to your recruitment kingdom matter. You are responsible for:
  • Creating and maintaining strong, unique passwords
  • Keeping your authentication credentials confidentials
  • Ensuring each User has their own account (account sharing is prohibited)
  • All activity occurring under your account
Organization Accounts: For organizational subscriptions, you must designate at least one User as Administrator who will manage access and permissions.

User Conduct and Restrictions

Our platform works best when everyone acts professionally. You agree not to:

  • Post or transmit content that is illegal, fraudulent, misleading, or harmful
  • Harass, defame, or threaten any person or entity
  • Violate intellectual property rights, including copyright and trademark laws
  • Use the Services for unauthorized marketing or solicitati
  • Collect personally identifiable information without consent (especially of minors)
  • Distribute spam, malware, or engage in phishing activities
  • Access or attempt to access systems without authoriza
  • Interfere with the security or functionality of the Site or Services
  • Engage in or promote illegal activities
  • Circumvent or manipulate billing proces

We reserve the right to suspend or terminate access for violations of these restrictions. The recruiting industry runs on trust-breaking it has consequences.

Intellectual Property Rights

The recruitment tech stack involves multiple IP considerations:

RecruitBPM's Rights: All Site content, software, designs, and materials are owned by RecruitBPM and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, or distribute our content without permission.
Limited License RecruitBPM grants you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes.
Your Content: You retain ownership of the content you submit. However, by uploading content, you grant RecruitBPM a worldwide, royalty-free license to use, modify, and display that content for the purpose of providing and improving our Services.
Copyright Issues: We respect intellectual property rights. If you believe content on our Site infringes your copyright, please contact us at compliance@recruitbpm.com with:
  • Identification of the copyrighted work
  • Location of the alleged infringing material
  • Your contact information
  • A statement of good faith belief regarding unauthorized use
  • An electronic or physical signature

Subscription Plans and Services

RecruitBPM offers tiered service plans—because not every recruiting operation has the same needs.


Subscription Options: We offer standard and premium subscription plans billed monthly or annually, which include:
  • Defined feature sets
  • Usage limitations (records, database size, etc.)
  • Support and training levels
  • Analytics capabilities
Service Level Determination: Your subscription level determines specific features and service capacity. Exceeding reasonable usage patterns may result in bandwidth limitations, applied respectfully to avoid business disruption.
Trial Period: For promotional or trial subscriptions, certain features may be limited at RecruitBPM's discretion.

Payment, Refunds, and Subscription Changes

The financial side of our relationship follows these principles:

Billing Cycles: RecruitBPM bills for Services monthly or annually in advance, depending on your plan selection.
Currency: We accept payment in United States Dollars (USD) only.
Taxes: Service fees don't include taxes, levies, or duties, which remain your responsibility (except those based on RecruitBPM's income).
Non-Refundable: Payments are non-refundable. We don't offer refunds or credits for partial months or unused periods except as specified in our Termination section.
Subscription Changes: You may modify your subscription at any time:
  • Upgrades take effect immediately, with prorated charges for the remainder of the billing cycle
  • Downgrades take effect at the beginning of the next billing cycle
  • Adding users results in immediate prorated billing
  • Removing users takes effect at the end of the billing cycle
Rate Changes: RecruitBPM reserves the right to modify subscription rates with 30 days' notice.
Automatic Renewal: Subscriptions automatically renew at the current rate until canceled.

SMS Terms and Conditions

Text messaging remains a powerful recruiting tool when used appropriately. Our SMS practices follow these guideline

SMS Consent Communication: Information (Phone Numbers) obtained through SMS consent processes will not be shared with third parties for marketing purposes.

Types of SMS Communications: If you've consented to receive text messages from RecruitBPM, you may receive messages for conversational purposes.

Message Frequency: Message volume varies by communication type.

Potential Fees: Standard message and data rates may apply, depending on your carrier's pricing plan. These fees may vary for domestic versus international messaging.

Opt-In Method: You can opt into SMS messages from RecruitBPM through our email communications and website forms.

Opt-Out Method: You may opt out at any time by replying "STOP" to any SMS message from us. Alternatively, you may contact us directly to request removal.

Help: For assistance with SMS messaging, reply with the keyword "HELP" to any message or visit https://www.recruitbpm.com/contact-us.

Additional Options: If you don't wish to receive SMS messages, simply leave the SMS consent box unchecked on our forms.

Standard Messaging Disclosures: Message and data rates may apply. Opt out anytime by texting "STOP." For assistance, text "HELP" or visit our Privacy Policy and Terms and Conditions pages.

Privacy and Data Handling

Your candidate and company data matters. Here's how we handle it:

Privacy Policy: Our Privacy Policy (separate from these Terms) details how we collect, use, and protect your information. By using our Services, you consent to these practices.
Data Collection: We collect personal information to optimize our Site and improve your experience. We reserve the right to share aggregated data with third-party analytical services to make data-driven decisions
Data Protection: We implement reasonable security measures to protect your information, though no online system is 100% secure. You share responsibility for maintaining the security of your account credentials.
Third-Party Sharing: We won't sell your information to third parties. We only share personal data with your consent or with service providers necessary to deliver our Services.
Legal Compliance: We may disclose information if required by law or to protect our rights or the safety of users.

Confidentiality

The recruiting industry runs on sensitive information. Both parties acknowledge that during our relationship, we may disclose confidential information to each other. Both RecruitBPM and User agree to:

Protect Confidential Information: Treat each other's confidential information with the same level of care as our own proprietary information.
Defined Confidential Information: This may include proprietary information, customer lists, product plans, financial data, sales information, and non-public business processes that are not:
  • Already in the public domain
  • Lawfully obtained from third parties without confidentiality obligations
  • Known prior to disclosure
  • Independently developed without reference to confidential information

Return or Destruction: Both parties agree to destroy all copies of confidential information within 60 days after termination of the agreement.

Limitations of Liability

The digital recruitment landscape involves inherent risks. Here's where we define boundaries:

As-Is Service: The Services are provided "as is" and "as available" without warranties of any kind, express or implied. RecruitBPM disclaims all warranties including merchantability, fitness for a particular purpose, and non-infringement.
No Uptime Guarantee: Issues beyond our control may limit access to Services, and we don't warrant specific uptime or performance levels.
Damage Limitation: In no event will RecruitBPM or its affiliates be liable for any indirect, special, incidental, consequential, exemplary, or punitive damages arising from the use of, or inability to use, our Services.
Liability Cap: RecruitBPM's total liability for all claims will not exceed the amount you paid for the Services in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions don't allow liability exclusions, so portions of these limitations may not apply to you.

Indemnification

When you operate a recruiting platform, responsibility flows both ways:

Your Indemnification Obligations: You agree to indemnify and hold harmless RecruitBPM from any claims, damages, liabilities, costs, and expenses (including attorney's fees) arising from:
  • Your use of the Services
  • Content you submit
  • Violation of these Terms
  • Infringement of third-party rights

RecruitBPM's Indemnification Obligations: RecruitBPM will indemnify and defend you against claims that our Services infringe upon third-party intellectual property rights, provided you:
  • Promptly notify us of such claims
  • Allow us to control the defense and settle
  • Reasonably cooperate with our defense efforts

Defense of Claims: If a lawsuit is filed against an indemnified party, written notice must be provided to the indemnifying party within 15 days. The indemnifying party may take control of the defense at their cost, though the indemnified party may participate at their own expense.

Dispute Resolution and Arbitration

Even in the best relationships, disagreements occur. Here's how we handle them:

Governing Law: These Terms are governed by the laws of the State of Minnesota, United States, without regard to conflict of law provisions.
Arbitration Agreement: Except for certain disputes, you agree that all disputes between you and RecruitBPM will be resolved by binding individual arbitration in Monroe County, Minnesota, according to JAMS Streamlined Arbitration Rules and Procedures.
Good Faith Negotiation: Before initiating arbitration, both parties must attempt to resolve disputes through good-faith negotiations.
Arbitration Costs: RecruitBPM will pay all arbitration fees for claims under $75,000. RecruitBPM won't seek attorneys' fees unless claims are frivolous.
Exceptions: Either party may assert claims in small claims court. Claims related to intellectual property rights may be pursued in court.
Waiver of Jury Trial: By agreeing to arbitration, both parties waive rights to jury trials.
Class Action Waiver: All disputes must be resolved on an individual basis. Class actions are not permitted.
Opt-Out: You may opt out of the arbitration agreement by sending written notice to our address within 30 days of accepting these Terms.

Termination

All good things must come to an end-sometimes

Termination by User: You may cancel your account at any time through written notice (verbal cancellations not accepted).
Content After Termination: You are responsible for saving any User content before cancellation takes effect. After cancellation, RecruitBPM reserves the right to delete associated data.
No Refunds: If you cancel before the end of your current paid period, the cancellation takes effect immediately, but we won't issue refunds for the remaining period.
Termination by RecruitBPM: We reserve the right to suspend or terminate accounts for violations of these Terms, without prior notice.
Survival: Provisions that by their nature should survive termination will remain in effect.

General Provisions

The fine print that ties everything together:

Entire Agreement: These Terms constitute the entire agreement between you and RecruitBPM regarding your use of our Services.
Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full effect.
No Waiver: RecruitBPM's failure to enforce any right or provision of these Terms won't constitute a waiver of such right or provision.
Assignment: You may not assign these Terms without RecruitBPM's express written consent. RecruitBPM may assign its rights and obligations to affiliates or successors.
Third-Party Links: Our Site may contain links to third-party websites. RecruitBPM assumes no responsibility for third-party content, policies, or practices.
Force Majeure: Neither party will be liable for failures or delays due to causes beyond reasonable control.
